Trust Oldham: Constitutional & Procedural Info

For ease of reference I’ve started a new thread, which should answer a lot of Trust legal and procedural questions.

 

NOTE: The 'Trust' was re-formed or at least re-constituted on 24th January 2014 as a Limited Company (by guarantee) as per information at Companies House.

That Company is Oldham Athletic Supporters Foundation Limited.

Company number 8860767

Company Directors: Barry E Owen (Chairman/Club Director), Richard M Atwood, Simon J Colebrook, Diane E Mellor (Vice-Chair), Simon Brooke (Media and Marketing) Ray Coverley (Company Secretary) and Chris Hill (co-opted – Communications).

 

The 'Trust' holds 3% of the 100 shares in Oldham Athletic(2004)AFC Ltd which are non-voting B class shares. Simon Corney holds 97 A class shares and all the voting rights!

At last year’s Trust AGM, Barry said the maximum number of Directors the Board can elect is 12. There are currently 6, with one additional co-opted Board member.

 

It was confirmed that there are 2 Trust Board members due to retire at the 2015 AGM. All posts are on a three-year tenure.

 

The following were elected to the Trust Board at the 2014 AGM and therefore will be up for re-election in 2017:

Ray Coverley elected as Secretary, Simon Colebrook elected as Treasurer and Simon Brooke elected as Website/Marketing Communications Director.

 

Chris Hill volunteered his services to the Trust Board in a communication capacity. The Board and Chris agreed that this should be a 6 months probationary for both parties and if both parties are happy, then to go forward at the 2015 AGM for a permanent Board position with a 3yr tenure.

 

Barry Owen’s three-year tenure would have expired at the 2015 AGM. The remaining Directors are Richard Atwood and Diane Mellor, whose three-year tenure expiry date is uncertain but presumably one is 2015 (in view of Barry and one other being due to retire then) and the other 2016.

A quick trawl through R Attwoods posts would indicate he joined the Trust Board in 2013, around the time of the fraud case statements.

The way to look at the shareholding of the B shares is easiest done on the AR Annual Return of OA(2004)AFC Ltd and that shows on 9/12/2013 that those 3 non voting shares are held by Oldham Athletic Supporters Foundation Ltd. If you want you can go through Companies House and pay £1 to get the Dec 2014 AR.

Note-The Annual Return for 2014 due in December 2014 is overdue at Companies House so cannot be downloaded yet!

Keep up the good work BP! The major thing that i noticed was that the rep on the Clubs Board does not have voting rights on the Board of the Trust ; 'to avoid any conflict of interest.' (sorry to clarify-that is on the template not in our case)

At the Q & A session immediately prior to the Trust AGM last year, Barry said the best models of how a trust is run were Telford and Exeter, although they have had their hurdles too.

I'd like to be able to go back to all major and policy News and Announcments, not just the past 6 months of all.

Currently having to go back to look in each month anomgst the new website anouncements is painful. PLus it only goes back to 2011, not 2003.
